TERMS OF USE FOR BIS’S GROOPER WIKI (THE “WIKI”)

IF YOU CHOOSE TO USE THE GROOPER WIKI, YOU MUST ACCEPT THESE TERMS OF USE, WITHOUT CHANGES. BY ACCEPTING THIS AGREEMENT AND CONTINUING TO ACCESS OR USE THE WIKI, YOU ARE AGREEING TO THESE TERMS OF USE ON BEHALF OF YOURSELF OR ANY ENTITY YOU REPRESENT, AND YOU REPRESENT AND WARRANT THAT YOU HAVE THE RIGHT, AUTHORITY, AND CAPACITY TO ACCEPT AND AGREE TO THESE TERMS ON BEHALF OF ANY SUCH ENTITY. SUCH AGREEMENT IS IN CONSIDERATION OF THE VALUE AFFORDED TO YOU IN ALLOWING YOU TO USE THE WIKI. THIS WIKI IS NOT FOR MINORS. IF YOU (OR ANYONE IN YOUR IMMEDIATE PRESENCE) ARE A MINOR OR DO NOT AGREE WITH ANY OF THESE TERMS OF USE, DO NOT ACCESS OR USE THE GROOPER WIKI.

IF ANY FUTURE CHANGE IS UNACCEPTABLE TO YOU, YOU SHOULD DISCONTINUE USING THE GROOPER WIKI. YOUR CONTINUED USE OF THE GROOPER WIKI INDICATES YOUR ACCEPTANCE OF THIS AGREEMENT AND ANY CHANGES TO IT.

These Terms of Use define and communicate how BIS uses and manages the Wiki content. BIS does not sell user or client information. BIS is committed to respecting and protecting privacy rights while visiting this Wiki, www.bisok.com, www.grooper.com, BIS’s Grooper software user forum (“Grooper xChange”) and BIS’s blogs, collectively the “website.” Unless otherwise posted on a specific webpage visited, these Terms of Use, along with BIS’s Privacy Policy, explain your rights and expectations of privacy while using this Wiki.

Wiki content. The Wiki content is for informational purposes only. WARNING: you may find material on this Wiki that is erroneous or offensive. BIS has limited liability since it cannot identify (or verify the veracity, feasibility or truthfulness of) any Wiki content as erroneous, misleading, offensive or unlawful. Use your best judgment and common sense when using this Wiki.

Activity by BIS. BIS, in its sole discretion, enforces its policies and reserves the right, but holds no obligation, to:

Manage the Wiki as appropriate to ensure BIS’s missions;
Detect, prevent, or otherwise address fraud, security or technical issues;
Disable or restrict access of any user who violates these Terms of Use or infringes copyrights, patents or trademarks;
Investigate content and use of the Wiki to (a) identify violations of these Terms of Use, or other BIS policies, laws or policies, or (b) comply with any law, process or governmental request; AND
Take legal action against any users who violate these Terms of Use (including involvement of law enforcement).

DMCA compliance. BIS wants to ensure the content on this Wiki can be re-used by other users without fear of liability for infringement or harm to third party rights. BIS will directly respond to any notices of alleged infringement in accordance with the Digital Millennium Copyright Act (“DMCA”) and under its sole discretion delete any infringing content or terminate inappropriate access keeping in mind that most takedown notices are baseless. BIS and all users are free, but not obligated, to file DMCA counter-notifications if appropriate.

Forbidden activities. Wiki users must be civil and polite when posting, commenting or interacting with others, to act in good faith, and to make edits and contributions aimed at furthering BIS’s mission of awareness and shared best practices. Such activities, whether legal or illegal, may harm others, violate these Terms of Use or laws and regulations or incur other liability. Therefore, you may not:

Create any automated services, processes or scripts;
Disrupt, overload or burden the Wiki or its associated networks or servers;
Engage in abuse, fraud, harassment, spam, stalking or threats;
Impersonate anyone, misrepresent your affiliations, credentials or knowledge, or misappropriate others’ usernames or credentials;
Infringe any copyrights, patents, trademarks or other intellectual property rights;
Intentionally or knowingly post content that is abusive, defamatory, discriminatory, false, fraudulent, harassing, harmful, hateful, intimidating, inaccurate, libelous, objectionable, obscene, offensive, pornographic, sexually explicit, threatening or vulgar;
Knowingly access, tamper with, or use any sites or systems without authorization;
Link to or post any polls or surveys;
Misappropriate this Wiki for unrelated topics including political or religious viewpoints;
Probe, stress or test the vulnerability of any systems or networks associated with this Wiki;
Solicit or share information from anyone under the age of 18 for illegal purposes or harm to minors;
Solicit or utilize information to harass, exploit, spam or promote any commercial purposes not approved by BIS;
Transmit viruses, chain mail, junk mail, or spam;
Use the Wiki for any disruptive or illegal purposes, including the posting of any child pornography or other obscene material that is unlawful or the introduction of any viruses, malware, worms, Trojan horses, malicious code, or anything else that could harm BIS’s or others’ equipment or systems; OR
Violate any privacy laws or privacy of other users or third parties.

General terms. These Terms of Use do not create any employment, agency, partnership, or joint venture relationship between you and BIS. If you have not signed a separate agreement, these Terms of Use are the entire agreement between you and BIS. Any separately signed agreement will control if conflicting with these Terms of Use. BIS is not obligated to enforce any portion of these Terms of Use, and any such inaction is not a waiver of any terms or rights. If any portion of these Terms of Use is found unlawful, void, or unenforceable, that portion may be altered or removed from these Terms of Use and enforced to the maximum extent allowed, and all other portions of these Terms of Use will remain in full force and effect.

Information collected. BIS uses various investigative and research technology including Google Analytics as well as good old-fashioned visual review of all Wiki use and content. BIS reserves all rights to use or monitor the Wiki content as appropriate.

Licenses / Waiver. In order to freely share all learnings and best practices, all submitted Wiki content is licensed for free reuse by BIS or any other users, including commercial use, so long as such use complies with these Terms of Use. You hereby waive any right of privacy or compensation to such content, or any subsequent material derived or developed from such content.

Importing content. You may only post or import self-authored works or public domain content.
No revoking licenses. You hereby agree not to revoke or invalidate content, comments, posts or any license granted under these Terms of Use, even if no longer using this Wiki.
Re-use. Re-use of content on this Wiki is not allowed, except for content contributed under "fair use" or similar exemptions under copyright law. Any such re-use must comply with such doctrines, regulations and underlying license(s). If you re-use any content on this Wiki attribution is required by URL, hyperlink or sharing a list of all authors. Content from external sources may require additional attribution.
Derivatives. Any derivatives or edits of content on this Wiki shared elsewhere must contain attribution and an indication that the original work has been modified and remain open to access by BIS and associated or related third parties.

Password security. You are solely responsible for safeguarding your password and should never disclose it to any third party.

Payment for content. As a general rule, and unless otherwise agreed in writing, neither you nor any other user will receive any compensation from BIS for any activity, content, contributions or ideas provided to this Wiki. If you receive compensation from anyone other than BIS for contributions you must disclose your sponsor, employer or company affiliation in each post or comment in order to avoid unpermitted deceptive activities, such as impersonation, fraud or misrepresentation of your affiliation, credentials or knowledge.

Privacy Policy. Please also review the terms of BIS’s Privacy Policy to learn how BIS collects and uses Wiki content and information. Any content or personal information may be shared, stored or processed within or outside of the U.S. By using this Wiki, you hereby consent to any such transfer of information. BIS also reserves the right to disclose personal information in order to comply with law enforcement or cooperate with investigations of purported unlawful activities, misuse or abuse of this website or in connection with unauthorized or unlicensed BIS sales, etc. The personal information collected at this Wiki or any BIS website may be indefinitely retained and electronically archived so long as it is secured and maintained in a manner compliant with BIS’s Privacy Policy. BIS will not use your name, image or likeness without your consent in any manner or for purposes other than those stated in this Terms of Use, the ongoing, permitted operation of this Wiki, or otherwise in relation to your use of this Wiki.

Termination. BIS wants you to stay active on the Wiki, however you may stop participating at any time. BIS may at times need to block, delete or terminate the Wiki, content (in whole or in part), terminate these Terms of Use, block accounts or access, or ban users. Once blocked, such user’s content or contributions will remain available to BIS and all users. Blocked users may still have access to the content but will not be able to access their accounts or settings. BIS reserves the right to suspend or end the Wiki at any time, with or without cause, and with or without notice. Even after users’ use and participation are banned, blocked or otherwise suspended, these Terms of Use will remain in effect with respect to relevant provisions.

Third parties and links to other websites. You are solely responsible for your use of any third-party websites or resources. BIS encourages you to be aware when you leave this Wiki through any shared links that other terms of use, privacy policies and collection of personal information may apply. If you disclose any information to other parties through links to other websites or third-party services, BIS shall not be responsible for the use or dissemination of such information. BIS does not necessarily endorse companies or related products or services which may be found linked on this Wiki. If you decide to access any such third-party websites, you do so entirely at your own risk. BIS does not have any obligation to monitor such third-party content. BIS hereby disclaims any rights to copyrights, domain names, logos, patents, service marks, trademarks, trade names or any other intellectual property rights or interests of third parties.

Trademarks. Although you may freely re-use the Wiki content all BIS trademark policies need to be followed. Any of the trademarks, service marks, collective marks, design rights, personality rights or similar rights that appear on this site are the property of their respective owners.

Governing law, jurisdiction and timeliness. BIS encourages dispute resolution outside of litigation but you hereby agree that any lawsuit is to be filed and decided exclusively in state or federal courts of Oklahoma County, OK. You also hereby agree that the laws of the State of Oklahoma and federal U.S. laws will govern these Terms of Use, as well as any legal claim that might arise between users and BIS (without regard to conflict of laws principles). The prevailing party in any cause of action shall be entitled to reasonable attorneys’ fees. Additionally, in order to ensure that disputes are dealt with soon after they arise, you hereby agree that any claim or cause of action arising out of or related to this Wiki or these Terms of Use must be filed within the statute of limitations or, if earlier, one (1) year after the facts underlying such claim or cause of action could have been discovered with reasonable diligence.

Disclaimer. This is solely an informational Wiki. The Wiki content is being provided freely, and there is no agreement or contract between you and BIS, its employees, contributors, project administrators or anyone else connected with this project. You are granted a limited license to copy or download the Wiki content; but there is no contractual or other liability on BIS or any of its agents, employees, members, organizers or other users. Your use of the Wiki is at your sole risk. All content is provided on an "as is" and "as available" basis, and BIS expressly disclaims all express or implied warranties of all kinds, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. BIS makes no warranty that the Wiki content will meet your requirements, be safe, secure, uninterrupted, timely, accurate, or error-free, nor secure for any shared information.

BIS is not responsible for the content, data, or actions of third parties, and you hereby release BIS, its directors, officers, employees, and agents from any claims and damages, known and unknown, arising out of or in any way connected with any claim you have against any such third parties. No Wiki content creates any warranty other than any expressly stated in these Terms of Use. Any material you download or copy through the Wiki is done at your discretion and risk, and you will be solely responsible for any damage to any computer system or loss of data that results. You agree that BIS has no responsibility or liability for the deletion of any content or communication on the Wiki. BIS retains the right to restrict access, use and content in its sole discretion whenever and with or without notice. If this disclaimer is deemed to be unlawful it still applies to the fullest extent allowed by law. Please note that the information found here may be in violation of the laws of the country or jurisdiction from where you are viewing this information. The Wiki content is stored on servers in the U.S. and is maintained in accordance with U.S. laws and rights afforded to content providers, users and readers. BIS is not responsible for any violations of law by linking to this domain or reusing any Wiki content. To be clear, BIS and its other users / licensors / suppliers shall not be liable to you or any other person or entity for any delay or failure in the compatibility or performance of this Wiki or for damage or loss suffered due to disruption, failure or unavailability of communication or connectivity, casualty, contagion, epidemics, pandemics, earthquakes, fire, flood, hurricanes, lightning, tornadoes, government or military acts, controls, orders or regulations, inability to obtain materials or services, civil commotion, labor disputes, national emergencies, riots, strikes, supply chain issues, terrorism, vandalism, war, or other acts of God or nature, or any other causes beyond BIS’s reasonable control.

Limited liability. BIS will not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses, regardless of whether BIS was advised of the possibility of such damage. In no event shall BIS’s liability exceed one hundred U.S. Dollars ($100.00). If this limitation of liability is deemed to be unlawful it still applies to the fullest extent allowed by law.

Protection of children. The Children's Online Privacy Protection Act of 1998 (“COPPA”) applies to all commercial websites. BIS does not knowingly collect or solicit any information from children. If BIS learns that it has collected any such personally identifiable information, BIS will delete that information from its databases as quickly as possible.

Updates and changes to the Terms of Use. BIS reserves the right, at its own discretion, to update and make changes to the Wiki and these Terms of Use. Users will be aware of updates by the effective date documented near the link to these Terms of Use. You should periodically review the most up-to-date version at the time of participation. Your acceptance of cookies and continued use of the website after such updates amounts to your binding acceptance of those changes. Your use and rights will be governed by the Terms of Use and Privacy Policy in effect at the time of your visit. BIS is open to any constructive feedback or reports regarding these Terms of Use or the Wiki in general.
